Corporate structure
To register a company you need:
- at least 1 shareholder and director,
- Corporate Secretary - Hong Kong Resident,
- legal address.
The register of shareholders is open.
Minimum authorized capital
There is no requirement for a minimum authorized capital. However, it must be correctly reflected in the accounting and paid.
Reporting and auditing
It is mandatory to keep accounting records, submit reports and conduct their audit.
Territorial taxation system
Income from foreign sources is not subject to income tax.

Double Taxation Agreement with Russia
There is an agreement between Hong Kong and the Russian Federation on avoidance of double taxation. When a Russian company distributes dividends, 5% (instead of 15%) will be withheld in Russia.

Company Registration Process
Starting a business in Hong Kong is a multi-step process that requires understanding local laws and interacting with multiple government agencies. We handle all the key steps so you can focus on growing your business.
The company registration period is from 2 weeks to 1 month. The exact time depends on the composition of shareholders, the speed of preparation and signing of documents.
Stage 1
Leave a request for a consultation
We will analyze your business model and goals, and select the most suitable legal form. The most popular form is a Private Limited Company (LLC), but other options are also available in Hong Kong, such as:
- Public Listed Company – a joint-stock company whose shares can be listed on the stock exchange.
- Company Limited by Guarantee – the part is used for non-profit organizations where the liability of the participants is limited to an agreed amount (not popular in the region).
- Branch Office – a representative office of a foreign company that can conduct commercial activities, but remains a legal part of the parent company.
- Representative Office – an office intended for marketing and research, but without the right to conduct commercial activities.
Stage 2
Reserve a company name

Stage 3
Preparation of documents

Stage 4
Registration of a company in the Companies Registry
Our lawyers will apply for company registration and obtain a Certificate of Incorporation (CI) and Business Registration Certificate (BRC).
At this stage, the legal entity is considered registered.
Stage 5
Registration with tax authorities and connection to electronic systems
We will register your company with the Inland Revenue Department (IRD) and assist with tax accounting setup, including registration for income tax and, if necessary, goods and services tax (GST/VAT).
Stage 6
Opening a bank account
We will develop an account opening strategy and help you collect documents for your application. We will also create or adapt a business plan in accordance with the bank's recommendations to ensure successful completion of all stages of the application review and account opening.
Stage 7
Registration of work visas
If necessary, we will help to obtain an Investment Visa for the company owner or an Employment Visa for employees, including support at all stages of submitting documents to the Immigration Department.
