Redomiciliation
Redomiciliation is the process of changing a company's jurisdiction while maintaining its business structure. That is, the company transfers its place of registration while maintaining its assets, management team, contractual obligations, legal status, and other key elements of its activities.

Why is the redomiciliation process necessary?
The relocation of a company to another jurisdiction may be due to various factors that affect its activities. Below we have described the most common reasons for moving a business to another country:
Complications in doing business in the current jurisdiction
Such difficulties may be caused by various factors, but most often they are related to sanctions restrictions that make it difficult or impossible for a company to operate fully. For example, local banks may refuse to service a company's accounts or conduct transactions under contracts, and local agents may refuse to provide legal, consulting or other services.
Tax optimization
Some jurisdictions provide tax incentives that allow companies to reduce their tax burden. This decision is often made if the company was initially registered in a country with an unfavorable tax system or if changes in local legislation have led to an increase in tax rates. In such circumstances, continuing to do business in this jurisdiction becomes economically unprofitable.
Attracting new investments
Some investors prefer to avoid cooperation with companies registered in “gray” zones and prefer businesses registered in jurisdictions with a developed legal system and stable economy. The choice of such a jurisdiction makes the company more attractive and reliable in the eyes of potential investors.
Increase in market demand
To increase a company's profits, it is sometimes strategically important to transfer its registration to a jurisdiction where the majority of clients, partners, contractors or shareholders are concentrated. Such a decision allows you to be closer to key markets and improve interaction with all stakeholders.

Key stages of the redomiciliation process
Stage 1
Collection of documents
At this stage, all corporate documents are collected, as well as documentation related to shareholders. A check is carried out on the possibility of moving the business to another jurisdiction.
Stage 2
Confirmation of solvency
Documents are being prepared confirming that the organization is not bankrupt and has no current debts to creditors.
Stage 3
Preparation and release of Articles of Continuation
A preliminary certificate of continuation of operations in the new jurisdiction is prepared, as well as a shareholders' resolution confirming the decision to redomiciliate.
Stage 4
Submission of documents to the registry of the new jurisdiction
The complete set of documents is submitted to the relevant registration authority in the new jurisdiction to complete the formal procedures.
Stage 5
Release of a new set of corporate documents
And the completion of the redomiciliation procedure.
